    Terms of Service

    Effective Date: April 9, 2026

At a Glance: Summary of Key Points

Before diving into the details, here is a quick overview of what you are agreeing to when you work with us:

  1. The Service: These terms cover your use of Masonite Studios LLC's software (including our cloud-hosted and self-hosted authentication layers), backup services, technology support, and consulting services.
  2. Your Obligations: You agree to use our authentication tools securely, provide accurate account information, and refrain from reverse-engineering our software or using it for malicious purposes.
  3. Payment Terms: Subscriptions and consulting fees are billed in advance or as outlined in your specific service agreement. You can cancel at any time, but we generally do not offer prorated refunds for partial months.
  4. Liability Limitations: We provide our software and services "as is." Because security is a shared responsibility, our liability is capped, and we are not responsible for infrastructure failures if you choose to self-host our software.
  5. Dispute Resolution: If a problem arises, we ask that you reach out to us directly first. If we cannot resolve it informally, we require binding arbitration rather than formal court trials.
  6. Termination: You can cancel your account at any time. We reserve the right to suspend or terminate access if you violate these terms or pose a security risk to our platform.
  7. Contact: You can always reach us at mason@masonitestudios.com.

    1. Welcome & Agreement

Welcome to Masonite Studios LLC. We build tools and provide services designed to make your business more secure and efficient.

These Terms of Service ("Terms") act as a legally binding contract between you (or the business you represent) and Masonite Studios LLC. By accessing our authentication software, utilizing our backup services, or engaging us for technical consulting, you agree to be bound by these Terms. If you do not agree with any part of this document, you may not use our services.

We know legal documents can be dense, so we have done our best to write these Terms in clear, plain language. If you have any questions about what anything means, please reach out to us at mason@masonitestudios.com before you start using our platform.

    2. About Our Service

Masonite Studios LLC provides a suite of technology solutions tailored for modern businesses. Our primary offerings include:

  9. Authentication Software: We provide a SaaS authentication layer for web applications. You can choose to use our cloud-hosted version or self-host the software on your own infrastructure. Self-hosting gives you complete sovereignty over your authentication-related data.
  10. Backup Services: We offer secure data backup solutions to help protect your critical business information.
  11. Consulting & Support: We provide technology support and software consulting for small businesses to help you optimize your tech stack.
  12. Eligibility

Our services are designed for businesses and professionals. To use our platform, you must be at least 18 years old and have the legal authority to bind your company to these Terms.

    Service Availability

We strive to keep our cloud-hosted authentication layer and backup services running smoothly 24/7. However, we do not guarantee 100% uptime. Maintenance, updates, or unforeseen technical issues may cause temporary interruptions. If you choose to self-host our authentication software, you are entirely responsible for the uptime, security, and maintenance of the servers where the software is deployed.

    3. Your Account

To use our software or backup services, you will need to create an account. Because we provide authentication and security tools, the integrity of your account is critical.

    Registration and Security

You must provide accurate, current, and complete information during registration. You are strictly responsible for maintaining the confidentiality of your account credentials. If you suspect someone has gained unauthorized access to your Masonite Studios LLC account, you must notify us immediately.

    Account Sharing

Your account credentials are for your use only. You may not share your login details with individuals outside your organization. If your team needs access, you must provision separate user accounts for them within your organization's workspace.

    Perpetual Licenses

If you purchase a perpetual license for our self-hosted software, you are licensed to use the specific downloaded version indefinitely. Through your account, you will have access to download version updates and receive customer support for one (1) year following your initial purchase. After this one-year term, we do not guarantee the continued availability of the software for download, though we may choose to keep older versions accessible. At our sole discretion, we may provide security-related updates beyond the one-year term based on our assessment of a vulnerability's severity.

    Account Termination

You can close your account at any time through your dashboard settings or by emailing us. Upon termination, you will lose access to our cloud-hosted services and your account dashboard. If you are on a subscription plan, any self-hosted software licenses tied to that active subscription will be revoked. If you hold a perpetual license, your right to use the already downloaded software survives termination, but you will no longer have account access to download the software, receive updates, or access support.

    4. Acceptable Use

We trust you to use our tools responsibly. To protect our infrastructure and other customers, we have established clear boundaries for what is and is not allowed.

    What You Can Do

You may use our authentication software to secure your web applications, utilize our backup services to protect your data, and implement our consulting advice to improve your business operations.

    What Is Prohibited

When using Masonite Studios LLC services, you agree not to:
  13. Use our authentication layer to secure applications that promote illegal activities, fraud, or malicious software.
  14. Attempt to bypass, exploit, or test the vulnerability of our cloud infrastructure without our express written permission.
  15. Reverse-engineer, decompile, or extract the source code of our proprietary software (unless explicitly permitted by an open-source license we provide).
  16. Resell or sub-license our software to third parties without a specific partnership agreement.
  17. Consequences of Violations

If we determine that you have violated these acceptable use rules, we may immediately suspend or terminate your account without notice or refund. We also reserve the right to report illegal activities to the appropriate authorities.

    5. Content & Intellectual Property

We believe in clear boundaries regarding who owns what.

    Our Property

Masonite Studios LLC owns all rights, title, and interest in our authentication software, backup platforms, consulting methodologies, and website content. When you subscribe to our service, we grant you a limited, non-exclusive, non-transferable license to use our software for your internal business purposes. You do not own the software itself.

    Your Property

You retain full ownership of all data, applications, and content you integrate with our services. We claim no ownership over your web applications or the end-user data you process through our authentication layer.

If you choose our self-hosted option, you maintain absolute sovereignty over your data, as it never touches our servers. For our cloud-hosted and backup services, we only process your data as necessary to provide the service to you.

    6. Payments & Billing

We aim to make our pricing transparent and our billing processes straightforward.

    Billing Cycles

Our SaaS products and backup services are typically billed on a recurring subscription basis (monthly or annually) in advance. Consulting services are billed according to the specific Statement of Work (SOW) or invoice provided to you.

    Payment Methods

You must keep a valid payment method on file to ensure uninterrupted service. By providing payment information, you authorize us to automatically charge your card or account for your subscription renewals.

    Refunds and Cancellations

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle. Because we provide immediate access to our software and infrastructure, we do not offer prorated refunds for partial months of service. If we fail to deliver consulting services as agreed, refund requests will be evaluated on a case-by-case basis.

    Price Changes

We may occasionally update our pricing. If we increase the price of your active subscription, we will notify you at least 30 days in advance, giving you time to decide whether to continue or cancel.

    7. Privacy

Your privacy, and the privacy of your end-users, is a core focus at Masonite Studios LLC.

Because we operate under strict US privacy frameworks, including the California Consumer Privacy Act (CCPA/CPRA) and other state privacy laws, we handle data with the utmost care. We only collect standard business operational data and utilize essential service providers to run our business.

For full details on how we collect, use, and protect your information—and how you can exercise your privacy rights—please read our comprehensive Privacy Policy.

    8. Disclaimers & Limitations

We build robust software, but technology is inherently complex and unpredictable.

    "As Is" Service

We provide our software, backup services, and consulting "as is" and "as available." We explicitly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

    Shared Security Responsibility

While our authentication layer is designed to enhance your security, no software is impenetrable. You are responsible for properly implementing our tools, securing your own infrastructure, and safeguarding your data. We are not responsible for breaches that occur due to your misconfiguration, especially in self-hosted environments.

    Limitation of Liability

To the maximum extent permitted by law, Masonite Studios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill. In no event shall our total liability to you for all claims exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

    9. Dispute Resolution

If we have a disagreement, we want to resolve it efficiently and fairly.

    Informal Resolution

Before filing a formal claim, you agree to contact us at mason@masonitestudios.com to attempt to resolve the dispute informally. We will do our best to find a fair solution within 30 days.

    Binding Arbitration

If we cannot resolve the dispute informally, you and Masonite Studios LLC agree to resolve any claims through final and binding arbitration, rather than in court. The arbitration will be conducted in the United States under the commercial arbitration rules of a recognized arbitration provider.

    Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

    10. Changes & Termination

Businesses evolve, and these Terms will occasionally need to be updated to reflect new features, legal requirements, or operational changes.

    Modifying the Terms

We may modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify active account holders via email. Your continued use of our services after the changes take effect constitutes your acceptance of the new Terms.

    Our Right to Terminate

We reserve the right to suspend or terminate your access to our services at our sole discretion, without notice or liability, if you breach these Terms, fail to pay your fees, or engage in behavior that threatens our platform's security or reputation.

These final provisions ensure our contract is legally sound and enforceable.

    Governing Law

These Terms are governed by the laws of the United States and applicable state law, without regard to conflict of law principles.

    Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that specific provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

    Entire Agreement

These Terms, along with our Privacy Policy and any specific consulting Statements of Work, constitute the entire agreement between you and Masonite Studios LLC regarding your use of our services. They supersede any prior agreements or conversations.

    Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms in the event of a merger, acquisition, or sale of assets.
